Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the products and services provided by Tron Buildings LLC (“Tron Buildings,” “we,” “us,” or “our”), including Maintenance Station, Tron devices, and the tronbuildings.com website (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.

1. Products & Services

1.1 Maintenance Station

Maintenance Station is maintenance management software for commercial buildings, provided on a subscription basis at $25 per user per month. It covers work orders, preventive maintenance, assets and inspections, and includes a Haxall framework license. Enterprise deployments on customer infrastructure are quoted separately.

1.2 Tron Gateway and Tron devices

The Tron Gateway is an on-premises IoT gateway built on the Raspberry Pi Compute Module 5, sold at $750 per unit ($615 hardware plus an annual software license of $135 per unit) covering software updates and support. It connects to building systems over BACnet and Modbus and runs AI models locally. Additional Tron sensor devices are sold separately at the prices listed at the time of order.

2. Account Registration

To use certain features of the Services, you must create an account. You agree to:

Provide accurate, current, and complete information during registration.
Maintain the security of your account credentials.
Promptly notify us of any unauthorized access to your account.
Accept responsibility for all activities that occur under your account.

3. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not:

Use the Services in any way that violates applicable federal, state, local, or international law or regulation.
Attempt to reverse engineer, decompile, or disassemble the Maintenance Station software or Tron device firmware.
Remove, alter, or obscure any proprietary notices, labels, or marks on the software or hardware.
Use the Services to transmit viruses, malware, or other harmful code.
Attempt to gain unauthorized access to any part of the Services, other accounts, or connected building systems beyond your authorized scope.
Resell, sublicense, or redistribute the Services without prior written consent from Tron Buildings.

4. Hardware & Delivery

4.1 Tron Gateway Hardware

Tron Gateway hardware is purchased outright and title passes to you on delivery. Tron Buildings provides a limited warranty against defects in materials and workmanship; the warranty period and claim process are set out in your order confirmation. Third-party components incorporated into the device, including the Raspberry Pi Compute Module, may additionally carry their own manufacturer warranties. Software and the Haxall framework license are provided separately from the hardware warranty.

4.2 Installation

The Tron Gateway is designed for on-premises installation. The customer is responsible for providing network connectivity (Ethernet), appropriate physical space, and access to the building automation network (BACnet, Modbus, or Haystack). Tron Buildings may offer professional installation services at additional cost.

5. Software Licensing

5.1 License Grant

Subject to these Terms and payment of applicable fees, Tron Buildings grants you a non-exclusive, non-transferable, revocable license to use:

Maintenance Station: For the number of user subscriptions purchased, for the purpose of building maintenance and automation management at the designated sites.
Tron devices: On hardware owned by your organization, for the number of devices seats covered by your active subscription.

5.2 License Restrictions

You may not copy, modify, distribute, or create derivative works based on the Maintenance Station or Tron device software. The Haxall framework is licensed under its own commercial terms, which are incorporated by reference.

5.3 Subscription Renewal

The Maintenance Station subscription covers continued access to the software, updates, security patches, the Haxall framework license, and technical support. If a subscription lapses, hardware you have purchased remains yours and continues to operate on your local network; cloud access, updates and support end until the subscription is renewed.

6. Payment Terms

6.1 Tron Station

Payment for Tron Station hardware and software is due in full upon order. Annual license renewal fees are invoiced 30 days prior to the renewal date.

6.2 Maintenance Station

Maintenance Station subscriptions are billed monthly in advance. You authorize us to charge the payment method on file for recurring subscription fees. You may cancel at any time; cancellation takes effect at the end of the current billing period.

6.3 Refund Policy

Tron Station hardware may be returned within 30 days of delivery for a full refund, provided the hardware is in its original condition. Maintenance Station subscriptions are non-refundable for any partial billing period.

7. Data Ownership

7.1 Your Data

You retain all ownership rights to your data, including building automation data collected by Tron Station, work orders and maintenance records in Maintenance Station, and all configurations and customizations you create.

7.2 Local Data

Building data processed and stored locally on your Tron Station hardware remains under your exclusive physical and logical control. Tron Buildings does not access, monitor, or collect this data unless you explicitly enable cloud connectivity or request remote support.

7.3 License to Use

You grant Tron Buildings a limited license to use anonymized, aggregated data (with no personally identifiable or building-identifiable information) to improve our products and services.

8. Warranties & Disclaimers

8.1 Limited Warranty

Tron Buildings warrants that the Maintenance Station software and Tron devices will perform substantially in accordance with their documentation for a period of 12 months from purchase or subscription start date. Our sole obligation under this warranty is to repair or replace defective software.

8.2 Disclaimer

EXCEPT FOR THE LIMITED WARRANTY ABOVE, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TRON BUILDINGS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

8.3 Building Systems

Tron Station interacts with third-party building automation systems. Tron Buildings is not responsible for the performance, availability, or safety of connected building systems, HVAC equipment, or other third-party hardware or protocols.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRON BUILDINGS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

TRON BUILDINGS' TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO TRON BUILDINGS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Tron Buildings and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Services, violation of these Terms, or violation of any rights of a third party.

11. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms, with or without notice. Upon termination:

Your Maintenance Station subscription and access will end immediately.
Tron Station software will enter read-only mode.
You may request export of your Maintenance Station data within 30 days of termination.
Building data stored locally on your Tron Station hardware remains under your control.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State in which Tron Buildings LLC is incorporated, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration, except for claims for injunctive relief.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a revised effective date and, where possible, by email. Your continued use of the Services after changes constitutes acceptance of the updated Terms.
