These Terms of Use ("Terms") govern your access to and use of the products and services provided by Tron Buildings LLC ("Tron Buildings," "we," "us," or "our"), including Tron Agent, Tron Ops, and the tronbuildings.com website (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.
Tron Agent is a macOS-based edge controller application delivered pre-installed on a Mac Mini with Apple Silicon hardware. Each unit is sold at $7,500 and includes the hardware, software, and a Haxall framework license. An annual license renewal fee of $1,350 per unit applies after the first year to maintain software updates, support, and the Haxall license.
Tron Ops is an iOS-based Computerized Maintenance Management System (CMMS) available on a subscription basis at $15 per user per month. Tron Ops connects natively to Tron Agent for real-time building data access.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not:
Each Tron Agent unit includes a Mac Mini with Apple Silicon. The Mac Mini hardware is subject to Apple's standard hardware warranty. Tron Buildings provides the Tron Agent software and Haxall framework license separately from the Apple hardware warranty.
Tron Agent is designed for on-premises installation. The customer is responsible for providing network connectivity (Ethernet), appropriate physical space, and access to the building automation network (BACnet, Modbus, or Haystack). Tron Buildings may offer professional installation services at additional cost.
Subject to these Terms and payment of applicable fees, Tron Buildings grants you a non-exclusive, non-transferable, revocable license to use:
You may not copy, modify, distribute, or create derivative works based on the Tron Agent or Tron Ops software. The Haxall framework is licensed under its own commercial terms, which are incorporated by reference.
The Tron Agent annual license fee ($1,350/year per unit) covers continued access to software updates, security patches, Haxall framework license, and technical support. Failure to renew will result in the software continuing to function in a read-only mode without updates or support.
Payment for Tron Agent hardware and software is due in full upon order. Annual license renewal fees are invoiced 30 days prior to the renewal date.
Tron Ops subscriptions are billed monthly in advance. You authorize us to charge the payment method on file for recurring subscription fees. You may cancel at any time; cancellation takes effect at the end of the current billing period.
Tron Agent hardware may be returned within 30 days of delivery for a full refund, provided the hardware is in its original condition. Tron Ops subscriptions are non-refundable for any partial billing period.
You retain all ownership rights to your data, including building automation data collected by Tron Agent, work orders and maintenance records in Tron Ops, and all configurations and customizations you create.
Building data processed and stored locally on your Tron Agent hardware remains under your exclusive physical and logical control. Tron Buildings does not access, monitor, or collect this data unless you explicitly enable cloud connectivity or request remote support.
You grant Tron Buildings a limited license to use anonymized, aggregated data (with no personally identifiable or building-identifiable information) to improve our products and services.
Tron Buildings warrants that the Tron Agent software and Tron Ops will perform substantially in accordance with their documentation for a period of 12 months from purchase or subscription start date. Our sole obligation under this warranty is to repair or replace defective software.
EXCEPT FOR THE LIMITED WARRANTY ABOVE, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TRON BUILDINGS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
Tron Agent interacts with third-party building automation systems. Tron Buildings is not responsible for the performance, availability, or safety of connected building systems, HVAC equipment, or other third-party hardware or protocols.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRON BUILDINGS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
TRON BUILDINGS' TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO TRON BUILDINGS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Tron Buildings and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Services, violation of these Terms, or violation of any rights of a third party.
We may suspend or terminate your access to the Services at any time for violation of these Terms, with or without notice. Upon termination:
These Terms shall be governed by and construed in accordance with the laws of the State in which Tron Buildings LLC is incorporated, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration, except for claims for injunctive relief.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a revised effective date and, where possible, by email. Your continued use of the Services after changes constitutes acceptance of the updated Terms.
